Licence Agreement - Offer
Terms granting non-exclusive rights to use the Wlaunch portal to Licensees

This Licence Agreement is an offer by LLC «WLAUNCH», hereinafter referred to as the Licensor, to any legal entity or individual who has accepted the terms set forth in this Agreement and has paid for the Licensor's services, hereinafter referred to as the Licensee.
Preamble
The information provided below constitutes an official offer (public offer) to any legal entity or individual to conclude an agreement, the subject of which is defined in Section 1 of this Agreement (hereinafter referred to as the Services).
In accordance with Article 642 of the Civil Code of Ukraine, full and unconditional acceptance of the terms of the public agreement shall be the fact of the Licensee making payment for the Services and the Licensor receiving the corresponding financial document confirming such payment.
The Licensor's website is located at https://www.wlaunch.net/.
Terms used in this agreement
Portal - the «WLAUNCH» web portal as a whole, as well as its components, being an objectively expressed set of data and commands, including source code, databases, audiovisual works included by the Licensor in the Portal, as well as any documentation regarding its use.
Registration - an action aimed at creating a User Account. Registration is voluntary. During registration, the Licensee undertakes to provide the Licensor with necessary, accurate and up-to-date information. The Licensee is responsible for the accuracy, relevance, completeness and compliance with the legislation of Ukraine of the information provided during registration, as well as for its freedom from third-party claims.
Personal Data - any information that directly or indirectly relates to an identified or identifiable person.
E-mail - electronic mail.
Identification of the Licensee - provision of documents confirming the identity of the Licensee, authorization on the Licensor's website.
Licence Type - a tariff plan selected by the Licensee from the list posted by the Licensor on the Internet.
User Account - a record in the Licensor's system and/or in the Portal that stores data enabling identification and authorization of the Licensee as a user of the Portal.
1. Subject of the agreement
1.1. The subject of this Licence Agreement is the transfer by the Licensor of non-exclusive rights to use the intellectual property embodied in the Portal to the Licensee under the terms of a simple (non-exclusive) licence, solely for independent use by the Licensee without the right to sublicense to third parties.
1.2. Access to the Portal specified in clause 1.1 shall be granted (opened) by the Licensor within one business day from the moment the remuneration specified in clause 5.1 of this Agreement is credited to the Licensor's bank account.
1.3. The Licensor creates a User Account based on the data provided by the Licensee during Registration.
2. Personal data
2.1. By concluding the Agreement, the Licensee confirms full familiarisation with and agreement to its terms and, if the Licensee is an individual, grants consent to the Licensor to process their personal data.
2.2. The purpose of processing the Licensee's personal data is to enable the Licensor to provide Services under the Agreement, carry out settlements, issue invoices, acts and other documents, detect and prevent fraudulent actions, resolve security issues and technical malfunctions, and protect against direct threats of harm to the Licensor or its clients in accordance with the law.
2.3. By concluding the Agreement, the Licensee confirms that they have been informed (without additional notice) of their rights under the Law of Ukraine «On Personal Data Protection» and of the purpose of processing the data transferred to LLC «WLAUNCH».
2.4. The Licensee's consent to personal data processing remains valid throughout the term of the Agreement and for five (5) years after its termination.
2.5. Destruction of personal data constitutes grounds for termination of the Agreement and is carried out based on a written (paper) request of the Licensee. In such case, the Agreement shall be deemed terminated as of the date specified in the Licensor's response notice.
2.6. The Licensee guarantees that they have informed all third parties about the use of their personal data for the provision of Services, the purpose and methods of such processing, and have obtained their consent.
2.7. At the Licensor's request, the Licensee must provide written consent of third parties for processing their personal data.
2.8. Personal data provided by the Licensee will be accessible to employees and consultants of the Licensor.
2.9. By concluding this Agreement, the Licensee agrees that the Licensor may, without additional notice, provide access to and transfer personal data to third parties (both anonymised and open form) without changing the purpose of processing. In case of a change in purpose, the Licensor shall notify the Licensee via email.
2.10. The Licensor guarantees that personal data will not be used for any purpose other than that specified in clause 2.2 without proper notification.
2.11. By concluding this Agreement, the Licensee confirms understanding of the Law of Ukraine «On Personal Data Protection».
2.12. Personal data provided by the Licensee constitutes confidential information in accordance with the Privacy Policy (Appendix No. 1).
2.13. The procedure for providing personal information to third parties and protection guarantees are defined in the Privacy Policy (Appendix No. 1).
3. Exclusive rights
3.1. The Portal is the result of the Licensor's intellectual activity and is protected by Ukrainian copyright law.
3.2. The Licensor guarantees that it possesses all necessary rights to grant usage rights to the Licensee, including documentation.
3.3. Portal algorithms and source code (including parts thereof) are trade secrets. Any violation constitutes grounds for termination of rights granted under this Agreement.
3.4. The right of use is granted only to the Licensee without transfer to third parties unless otherwise agreed in writing.
3.5. Ownership rights to the Portal are not transferred.
3.6. No rights to trademarks or service marks are granted.
3.7. The Licensee may not copy, distribute, rent, lease, or sublicense the Portal.
4. Rights and obligations of the parties
4.1. Licensor obligations
- Ensure 24/7 availability (except maintenance periods).
- Provide access via registration.
- Provide a secure web interface.
- Grant access within one business day after payment.
- Provide technical support without additional fee.
- Restrict access to personal data except public data.
4.2. Licensee obligations
- Provide accurate information.
- Not copy, modify, decompile or disassemble.
- Not violate copyright laws.
4.3. Licensor rights
The Licensor may suspend or terminate access in cases including:
- Non-payment.
- False contact information.
- No response within 15 days.
- Unauthorised access attempts.
- Spam or illegal content.
- Virus distribution.
- Copyright violations.
- Sending unsolicited commercial messages.
- Publishing illegal content (including pornography).
The Licensor may unilaterally terminate the Agreement with notice. The Licensor may offer a different tariff plan or terminate service with refund of unused funds.
4.4. Licensee rights
- Demand access per Agreement.
- Use paid features.
- Submit complaints or suggestions.
5. Price and payment terms
5.1. The Licensee pays licence remuneration per selected Licence Type.
5.2. Payment is 100% prepayment in Ukrainian national currency.
5.3. The Licensor may change pricing upon renewal.
5.4. Payment is deemed completed upon receipt of funds.
5.5. If no claims are received within 5 days after expiration, rights are deemed properly granted.
5.6. Early termination does not entitle the Licensee to a refund.
6. Special conditions and liability
6.1. No guarantee of uninterrupted operation.
6.2. No liability for direct or indirect damages.
6.3. No liability for causes beyond the Licensor's control.
6.4. The Licensee is responsible for password security.
6.5. The Licensor is not liable for the Licensee's Internet activity.
6.6. Requests are accepted only from the registered email or authorised area.
6.7. The Licensee agrees to receive email and SMS notifications.
6.8. Facsimile signatures have equal legal force.
7. Claims and disputes
7.1. Claims must be submitted in writing within 3 days.
7.2. Claims must include payment confirmation.
7.3. Disputes are resolved by a competent court under Ukrainian law.
7.4. Emails with technical headers may serve as evidence.
8. Force majeure
8.1. Parties are not liable for force majeure (natural disasters, war, strikes, epidemics, legal acts, etc.).
8.2. Written notice required within 5 days.
8.3. Deadlines extended proportionally.
9. Entry into force, term, amendments
9.1. Effective upon payment and valid for the licence term; automatically renewed upon payment.
9.2. The Licensor may restrict or terminate in case of violation or suspected illegal activity.
9.3. The date of conclusion is the date of payment receipt.
9.4. Ukrainian law applies.
9.5. Confidentiality obligations apply.
9.6. The Agreement remains valid despite changes in company details.
9.7. Changes are notified via the website (Licensor) or client account (Licensee).
